1. DEFINITIONS

SC. AFRO EURO TRADING & SERVICES S.R.L. hereinafter referred to as "AETS", is a company organized under Romanian law, with its registered office in the Municipality of Cluj-Napoca, Aleea Slatina, No. 1, Block V6, Staircase 2, Floor 2, Apt. 15, Cluj County, Romania, with tax registration code 46392026, registered at the Cluj Trade Registry Office under No. J12/3936/2022, phone: (+40) 730 366 455.

AETS is the company that manages the domain and website https://afroeurohub.com, hereinafter referred to as "afroeurohub.com" / "the Webite" / "the Site".

In the context of this document, the following terms will have, unless the context indicates otherwise, the meanings specified below:

CONTENT - has the following definition:

• all information on the website that can be visited, viewed or otherwise accessed through the use of electronic equipment;

• the content of any email sent to its users or customers by an AETS employee/collaborator by electronic means and/or any other available means of communication;

• any information communicated by any means by an employee of AETS to the user or client, according to the contact information, specified or not by him;

• information related to the products, services and/or rates charged by AETS in a certain period;

• information related to the products, services and/or rates charged by a third party with whom AETS has concluded partnership contracts, in a certain period;

data related to AETS, or other privileged data of it.

PRODUCTS AND SERVICES - any product or service, including the documents and services mentioned in the order, to be provided by AETS to the customer as a result of the conclusion of the contract.

USER - represents the natural or legal person who has or obtains access to the content of the website, through any means of communication made available by AETS (electronic, phone, etc.) or based on an existing user agreement between AETS and it, and which requires the creation and use of an account.

CUSTOMER - the natural or legal person or any legal entity that creates an account on the website and places an order.

ORDER - is an electronic document, generated as a result of accessing the website by a customer, through which the customer transmits to AETS company his intention to purchase products and services from the website, reserving a product by accessing the website does not constitute an order.

CONTRACT - is an order confirmed by AETS, by which it agrees to deliver products and services to the customer, and the customer undertakes to make payment for them.

TRANSACTION - collection or reimbursement of an amount resulting from the sale of a product and/or service by AETS to the customer, by using the services of the card processor approved by AETS, regardless of the delivery method.

NEWSLETTER - means of periodic information, exclusively electronic (e-mail, sms), on the products/services and/or promotions carried out by AETS in a certain period, without any commitment from AETS with reference to the information contained therein.

ABUSIVE USE - represents the use of the website in a way that is contrary to the practice in the field, the regulations and the legislation in force or in any other way that may cause damage to the AETS company.

2. ONLINE SALES POLICY

All information used to describe the products and/or services available on the site (static/dynamic images/multimedia presentations/etc.) do not represent a contractual obligation on the part of AETS, they are used exclusively for presentation purposes.

The promotions/offers present on the website are valid for a certain period of time and within the limit of available stock.

The access for the purpose of placing an order is allowed to any customer/user.

For justified reasons, AETS reserves the right to restrict the access of the client/user in order to place an order and/or to some of the accepted payment methods, if it considers that based on the conduct or activity of the client/user on the site, his actions could harm AETS in any way. In any of these cases, the customer/user can contact the commercial department of AETS, to be informed about the reasons that led to the application of the aforementioned measures.

By placing an order on the site, the customer agrees to the form of communication (phone or e-mail) through which AETS carries out its operations on the site.

AETS does not at any time consider an order not confirmed by AETS as having the value of a contract.

The notification received by the customer, immediately after placing the order, is for information purposes and does not represent confirmation of the order. This notification is done electronically (e-mail) or by phone.

For justified reasons, AETS reserves the right to change the quantity of products and/or services in the order. If we change the quantity of products and/or services in the order, we will notify the customer at the email address or phone number provided to AETS when the order was placed and we will return the amount paid. In the case of fresh products, the quantity may vary according to the weight requested by the customer. In the case of advance payment, the customer will be refunded or claimed the difference in money.

The CONTRACT is considered concluded between AETS and the customer when the customer receives from AETS, via e-mail and/or SMS, the order confirmation notification. Therefore, the contract comes into force when the order is confirmed by AETS.

The document and information made available by AETS on the website will form the basis of the contract thus concluded, supplemented by the warranty certificate issued by AETS suppliers.

The Terms and Conditions of use can be changed at any time by updating this website, these changes becoming mandatory and with immediate effect for all users/customers.

3. ORDER

The customer/user can place orders on the site, by adding the desired products and/or services to the shopping cart, then complete the order by making the payment through one of the expressly indicated methods. Once added to the shopping cart, a product and/or service is available for purchase as long as there is stock available for it.

By completing the order, the customer agrees that AETS may contact him, by any means available/agreed to by AETS, in any situation where it is necessary to contact the customer.

AETS may cancel the order placed by the customer, upon prior notice to the customer, without any subsequent obligation of either party to the other or without any party being able to claim damages from the other in the following cases:

1.Non-acceptance by the Issuing Bank of the customer's card, of the transaction, in the case of online payment;

2.Invalidation of the transaction by the card processor approved by AETS, in case of online payment;

3.The data provided by the customer on the website are incomplete and/or incorrect.

4. PRICE OF PRODUCTS AND SERVICES

All prices related to products and/or services presented on the website are expressed in Lei (RON) and include value added tax (VAT).

Under the conditions provided by law, the price of electronic products displayed on the website includes the green stamp tax.

In the case of online payments, AETS is not/cannot be held responsible for any other additional costs borne by the customer, including but not limited to currency conversion fees applied by the issuing Bank of his card, in the event that the issuing currency of it differs from RON. Responsibility for this action rests solely with the customer.

The price may be changed by AETS at any time without notice.

AETS points out that there are cases when, as a result of website malfunctions or errors, the price displayed on the website may not be the real one. In these cases, AETS will inform the customer of the correct price.

5. DELIVERY METHOD

The product will be delivered to the customer in a door-to-door courier system at the address specified by the customer.

AETS will ensure the proper packaging of the products and ensure the transmission of the accompanying documents.

AETS will carry out the delivery of products and the provision of services exclusively on the territory of Romania.

If it cannot execute the contract because the product is not available, AETS will inform the customer about this situation. AETS can deliver to the customer a similar product with the same price, in the situation where the originally requested product is not available, only after informing and with the agreement of the customer.

Details of delivery of products/services including but not limited to the time required for delivery do not constitute a contractual obligation on the part of AETS, without either party being able to claim damages from the other, in the event that either party may be or is prejudiced in any way as a result of their violation.

Orders are usually processed and shipped within 2-3 business days. In the case of public holidays or other unforeseen events (lack of stock for one of the products ordered, high volume of orders, etc.), the processing and dispatch of the order may take up to 4 working days.

The delivery fees are valid for any locality on the territory of Romania, calculated including the value added tax (VAT) and are as follows:

CARGUS courier: 17 Lei (RON) - rate valid within the limit of 20 kg.

CARGUS courier: 29 Lei (RON) - rate valid within the limit of 31kg.

The delivery is made only in the mentioned interval, from Monday to Friday between 09:00 and 17:00.

6. PAYMENT METHOD

The price, payment method and payment term are specified in each order. AETS will issue to the customer a proforma invoice for the products and services to be delivered, the customer's obligation being to provide all the information necessary to issue the invoice in accordance with the legislation in force.

For a correct communication of the invoice related to the order, the customer is obliged to update his account data whenever necessary and to access the information and documents related to each order, existing in the account.

If a product and/or service ordered by the customer cannot be delivered by AETS, the latter will inform the customer of this fact and will return to the customer's account the counter value of the product and/or service, within a maximum of 14 (fourteen) days from the date on which AETS became aware of this fact or from the date on which the customer expressly expressed his intention to withdraw from the contract.

6.1. Payment in cash upon delivery of the order

The counter value of the ordered products and services can be paid to the courier upon their delivery to the address specified by you.

6.2. Payment by bank transfer

Payment can also be made by bank transfer on the basis of the invoice, the delivery of the products to be made after the entry of the amount (the total value of the invoice) into our account.

6.3. Payment by card

For card payments, are accepted credit/debit cards issued under the Visa and MasterCard logo (Visa/Visa Electron and MasterCard/Maestro)

7. PRODUCTS OWNERSHIP TRANSFER

Unless otherwise agreed by AETS and the customer, ownership of the products will be transferred upon delivery, upon payment by the customer at the location indicated in the order (understanding by delivery – the signature of receipt of the shipping document provided by AETS).

8. WITHDRAWAL RIGHT

According to the legislation in force, the customer can exercise his right of withdrawal from the contract within 14 (fourteen) days after taking possession of the products.

The right to withdraw from the contract does NOT apply to legal entities.

In order to exercise this right, the customer must communicate his decision in writing through the contact form on the website https://afroeurohub.com/contact-us or by sending the request by email to contact@afroeurohub.com within 14 (fourteen) days after entering in possession of the products, and to wait to be contacted by one of our operators in order to return the products (response time 1-2 working days).

After the approval of the return request, the customer must send the product/products properly packaged, accompanied by all accessories and documents with which they were delivered, by means of a courier company to our address: SC. The return of the products will be done exclusively at the customer's expense and only by means of a courier service without refund!

Attention! When returning, we do not accept parcels with a cash on delivery payment.

If the customer requests withdrawal from the contract within the legal term, if the order is paid, AETS will refund the amount within a maximum of 14 (fourteen) days from the date on which the customer informs AETS of its decision to withdraw from the contract.

The amount will be returned as follows:

1.For the orders paid by Bank Card - by refund to the account from which the payment was made;

2.For the orders paid by Payment Order (PO) / Cash on Delivery - by bank transfer;

AETS will be able to delay refunding the amount until it receives the products sold or until it receives proof that they have been shipped, if it has not offered to take back the products itself (the latest date will be taken).

AETS reserves the right to reduce the amounts refunded to the customer by the value resulting from the handling of the products, other than those necessary to determine the nature, characteristics and functionality of the products.

The following are excluded from the right of withdrawal from the contract:

1.Contracts for the provision of services, after the full performance of the services, if the execution has begun with the express prior consent of the customer and after he has confirmed that he has become aware of the fact that he will lose his right of withdrawal after the full execution of the contract by AETS or Its suppliers;

2.Supplying products made to the specifications given by the customer or clearly customized;

3.Supplying products that are likely to deteriorate or expire quickly;

4.Supply of sealed products which cannot be returned for health protection or hygiene reasons, and which have been unsealed by the customer;

5.Supplying sealed audio or video recordings or sealed computer programs that have been unsealed after delivery.

9. ADVERTISING

The AETS newsletters are sent through specialized partners approved by AETS.

Thus, the confidentiality and security of information are ensured.

When the customer creates an account on the site, he has the opportunity to express his agreement regarding the receipt of newsletters. AETS does not promote SPAM. Any user/customer who has explicitly provided their email address on the afroeurohub.com website can at any time opt for its deletion from our database.

Opting out of receiving newsletters by the customer or user can be done at any time using the specially designed link within any newsletter. Opting out of receiving newsletters does not imply waiving the consent given for this document.

10. ASSIGNMENT AND SUBCONTRACTING

AETS can assign and/or subcontract to a third party for services related to the fulfillment of the order, with the customer's information, without the customer's consent being required.

AETS will always be responsible to the customer for all contractual obligations.

11. LEGAL INFORMATION

11.1. LIABILITY - AETS

AETS shall not be liable for damages of any kind that the customer or any third party may suffer as a result of AETS fulfilling any of its obligations under the order and for damages resulting from the use of the products and services after delivery and in particular for their loss.

11.2. WARRANTIES

All products benefit from warranty conditions in accordance with the legislation in force and the commercial policies of the manufacturers. The products are new (except for resealed products), in the original packaging and come from sources authorized by each individual manufacturer.

For a correct communication of the warranty certificate related to the product in the order, the customer is obliged to update his account data whenever necessary.

The lack of the product's warranty certificate must be reported within a maximum of 48 (forty-eight) hours after receiving the product to the e-mail address contact@afroeurohub.com . Any subsequent submissions will not be considered.

Complaints regarding deficiencies of the purchased product/products can be made by accessing the contact form.

The customer has the obligation to be aware of and comply with the provisions contained in the warranty certificate, otherwise there is a risk of losing the product warranty.

11.3. FORCE MAJEURE

Neither party shall be liable for non-performance of its contractual obligations if such non-performance is due to a force majeure event in accordance with applicable law.

11.4. GOVERNING LAW - JURISDICTION

The contract is subject to Romanian law. Any disputes arising between AETS and the client will be resolved amicably or, if this is not possible, the disputes will be resolved by the competent Romanian courts in Cluj county.

11.5. INTELLECTUAL PROPERTY RIGHTS

The content, as defined in the preamble, including but not limited to logos, stylized representations, commercial symbols, static images, dynamic images, text and/or multimedia content presented on the site, are the exclusive property of AETS, which is i reserved all rights obtained in this regard directly or indirectly (through licenses of use and/or publication).

The customer/user is not permitted to copy, distribute, publish, transfer to third parties, modify and/or otherwise alter, use, link to, display, include any content in any context other than that originally intended by AETS, include any content in outside the site, removing the signs signifying the copyright of AETS on the content as well as participating in the transfer, sale, distribution of materials made by reproducing, modifying or displaying the content, except with the express written consent of AETS.

Any content to which the customer/user has and/or obtains access by any means is subject to this document, if the content is not accompanied by a specific and valid user agreement concluded between AETS and it, and without any warranty implied or expressly made by AETS with reference to that content.

The customer/user may copy, transfer and/or use the content only for personal or non-commercial purposes, only if they do not conflict with the provisions of this document. If AETS gives the customer/user the right to use, in the form described in a separate user agreement, certain content, to which the customer/user has or obtains access as a result of this agreement, this right extends only to that or those contents defined in the agreement, only for the period of its existence or those contents on the site or the period defined in the agreement, according to the defined conditions, if they exist and do not represent a contractual commitment on the part of AETS to that customer/user or any other third party who has/obtains access to this transferred content, by any means and who could be or is harmed in any way by this content, during or after the expiration of the user agreement.

No content transmitted to the client or user, through any means of communication (electronic, phone, etc.) or acquired by him by accessing, visiting and/or viewing does not constitute a contractual obligation on the part of AETS and/or the employee/employee of AETS who mediated the transfer of content, if it exists, against that content.

Any use of the content for purposes other than those expressly permitted by this document or the accompanying user agreement, if any, is prohibited.

12. PERSONAL DATA PROCESSING

According to the requirements of Law no. 677/2001 for the protection of individuals with regard to the processing of personal data and the free movement of such data, amended and supplemented, AETS has the obligation to manage in safe conditions and only for the specified purposes, the personal data provided by users/customers.

The processing of personal data is any operation or set of operations performed on personal data, by automatic or non-automatic means, such as collection, registration, organization, storage, adaptation or modification, extraction, consultation, use, disclosure to third parties by transmission, dissemination or in any other way, joining or combining, blocking, deleting or destroying.

By reading the Terms and Conditions of use of this website, you have become aware of the fact that you are guaranteed the rights provided by law, namely the right to information, the right to access data, the right to intervene, the right to oppose, the right not to be subject to an individual decision , the right to go to court in case of violation of the rights guaranteed by Law 677/2001 for the protection of individuals regarding the processing of personal data and the free movement of such data.

By registering on the site/making an order and filling in personal data in the registration forms, users/customers declare that they agree to all their personal data being included in the AETS database and expressly and unequivocally consent that all their personal information data to be stored and used for:

•marketing activities by receiving informational or commercial messages (offers, promotions, advertising and marketing messages regarding the activity of AETS and of third parties with whom AETS has relations of any kind) to the e-mail addresses communicated to AETS;

participating in contests, promotions;

AETS will not disclose any information about the users/customers of the site or without first receiving their express consent in this regard.
